Modeeri Terms and Conditions

Last updated: 30 September 2026

1. Introduction & Acceptance

These Terms & Conditions (the “Terms”) govern access to and use of the Modeeri operations platform, including its web, iOS and Android applications, and all related services (together, the “Platform”).

  • How you accept. By ticking the box on the sign-up form confirming that you agree to these Terms and the Privacy Policy, and by creating an account or using the Platform, you enter into a binding agreement with us on behalf of the company or organisation you register (the “Client” or “you”). Your acceptance is recorded electronically and has the same effect as a signed agreement.
  • Authority. The person who ticks the box confirms that they are at least 18 years old and are authorised to bind the Client. If they are not authorised, they accept these Terms personally.
  • Everyone on your account. These Terms apply to the Client and to every person who accesses or uses the Platform through the Client’s account, including all Authorised Users. The Client is responsible for ensuring that each of them complies with these Terms.
  • Business use only. The Platform is provided for business purposes only and not for personal, household or consumer use.

2. Who You Are Contracting With

The Modeeri entity that provides the Platform to you (the “Provider”, “Modeeri”, “we” or “us”) depends on your billing country:

  • Clients with a billing address in Egypt: Modeeri LLC, a limited liability company incorporated in the Arab Republic of Egypt (Commercial Register No. 279742), registered office at 9 El Aslaki Division, Ahmed Abdel Azim Street, El Maadi, Cairo, Egypt. Fees are charged in Egyptian Pounds (EGP).
  • Clients with a billing address anywhere else: CookDocs LLC d/b/a Modeeri, a Delaware limited liability company, United States of America. Fees are charged in United States Dollars (USD).

The Provider entity also determines the governing law and courts under Section 26.

3. Definitions

  • “Authorised Users”: the Client’s employees, contractors or personnel whom the Client permits to use the Platform under its account.
  • “Client Data”: all information, content and personal data that the Client or its Authorised Users enter into, upload to or generate through the Platform.
  • “Fees”: all subscription fees, location fees, service fees and other amounts payable for the Platform or Services.
  • “Location”: each branch, outlet, site or other operating location that the Client sets up and activates on the Platform.
  • “Order Form”: any order form, proposal, quotation or schedule agreed in writing between the Client and the Provider.
  • “Plan”: the subscription plan, billing cycle and number of Locations selected by the Client.
  • “Services”: onboarding, configuration, training, implementation, consulting and other professional services provided by the Provider.
  • “Signed Agreement”: a Service & Subscription Master Agreement or other written agreement signed by both the Client and the Provider.
  • “Subscription”: the Client’s paid right to access the Platform under its Plan.
  • “Trial”: free access to the Platform under Section 6.

4. Signed Agreements & Order of Precedence

If the Client has a Signed Agreement with the Provider, that Signed Agreement (including its Order Forms) prevails over these Terms wherever they conflict. These Terms continue to apply to any matter the Signed Agreement does not address. Changes we make to these Terms never amend a Signed Agreement.

5. Accounts & Authorised Users

  • Account owner. The person who creates the account is the account owner and may add administrators and Authorised Users. The Client is responsible for all activity under its account.
  • Accurate information. The Client must provide accurate, complete and current registration and billing information and keep it up to date. We may ask for evidence that a person is authorised to act for the Client.
  • Credentials. Each Authorised User must have their own login. Credentials must not be shared. The Client must keep credentials secure and notify us promptly at info@modeeri.com of any unauthorised access. We are not responsible for losses caused by stolen or misused credentials.

6. Free Trial

  • Eligibility and length. New Clients may receive a free Trial of fourteen (14) days starting on the date the account is created, unless a different period is shown at sign-up. No payment card is required to start a Trial. Trials are limited to one per organisation. We may refuse, shorten, extend or end any Trial at our discretion, including where we reasonably suspect abuse (such as creating multiple accounts to obtain additional Trials).
  • Trial limits. Trial accounts may be limited in features, Locations, Authorised Users or usage, as shown in the Platform. Trials are for evaluating the Platform for the Client’s own business only. They may not be used for benchmarking or competitive analysis, or to build a competing product.
  • These Terms apply. All of these Terms apply during the Trial, except where this Section says otherwise.
  • No charge during the Trial. We do not charge you during the Trial. If you choose a Plan and enter payment details before the Trial ends, billing starts on the date shown at checkout.
  • End of Trial. If you have not subscribed by the end of the Trial, access to the Platform is paused automatically and no charge is made. We may send reminders before and after the Trial ends.
  • Trial data. If you subscribe before or within ninety (90) days after the Trial ends, your configuration and Client Data are restored to your account. If you do not subscribe within that period, we permanently delete the Trial account and its Client Data, subject to Section 18. You may ask us to delete Trial data sooner by emailing info@modeeri.com.
  • Trial provided “as is”. During the Trial, the Platform is provided “as is” and “as available”, without any warranty, service level, support commitment or indemnity from us. The Service Level Agreement does not apply to Trials. To the maximum extent permitted by law, our total liability arising from any Trial is limited to one hundred US dollars (USD 100) or its equivalent in EGP.

7. Plans, Locations & Pricing

  • Per-Location pricing. Subscription Fees are charged per active Location. Pricing is tiered by volume: the more Locations a Client subscribes, the lower the price per Location. The applicable tiers and prices are shown on our website or in the Platform at checkout.
  • Billing cycles. Plans purchased in the Platform are available on monthly, quarterly and annual billing cycles. Longer billing cycles may include a discount, as shown at checkout.
  • Locations at sign-up. At initial sign-up, a Client may subscribe for up to twenty-five (25) Locations through the Platform. Clients wishing to start with more than twenty-five (25) Locations must contact our sales team at info@modeeri.com for enterprise pricing, which is agreed in an Order Form or Signed Agreement.
  • Adding Locations later. After the initial subscription, the Client may add any number of Locations through the Platform. Each change is priced at the tier that applies to the Client’s new total number of active Locations, as shown in the Platform when the change is made. Locations added part-way through a billing cycle are charged immediately on a pro-rata basis for the rest of that cycle.
  • Removing Locations. Locations may be removed at any time, and the reduction applies from the next billing cycle. No refund or credit is given for the current cycle.
  • Price changes. We may change our prices. Any change to the price of an existing Subscription takes effect only from the Client’s next renewal, and we will notify the account owner at least thirty (30) days before it applies. If you do not accept the new price, you may cancel before the renewal date.
  • Modules and add-ons. Additional modules, add-ons or usage-based features may carry separate Fees, which are shown in the Platform before purchase.

8. In-Platform Billing & Payment

  • Default payment method. Unless we have agreed offline billing with you under Section 10, all Fees are paid in the Platform by card or another payment method we support. Payments are processed by our third-party payment processors: Paymob for Clients billed in EGP and Stripe for Clients billed in USD. We do not store full card numbers.
  • Payment in advance and automatic renewal. Fees are charged in advance at the start of each billing cycle. Each Subscription renews automatically for a further billing cycle of the same length unless it is cancelled in the Platform before the renewal date.
  • Authorisation. By subscribing, the Client authorises us and our payment processors to charge its payment method on file for all Fees when due, including renewals, pro-rata charges for added Locations and any applicable taxes. This authorisation remains in effect until the Subscription is cancelled.
  • Failed payments. The Client must keep a valid payment method on file. If a charge fails, our payment processor may retry it. We may update the payment details through our processor’s card-updater services where available.
  • Invoices and receipts. Receipts and invoices are issued electronically and made available in the Platform or by email.

9. Refunds

  • 48-hour refund window. For payments made in the Platform, the Client may request a full refund of a charge from its account within forty-eight (48) hours of that charge. On a refund, the Subscription period (or added Locations) paid for by that charge is cancelled and the related access ends.
  • After 48 hours. After the 48-hour window, in-Platform payments are non-refundable, whether or not the Platform is used, including on cancellation part-way through a billing cycle.
  • Offline payments. Payments made by bank transfer or any other offline method are non-refundable.
  • Exceptions. Despite the above, we refund prepaid Fees for the unused part of a paid period where (a) the Client terminates for our uncured material breach under Section 13, (b) a Subscription is terminated under Section 23 (Force Majeure) or under Section 21 (Indemnification), (c) we terminate for convenience under Section 13, or (d) the law requires a refund.
  • Abuse. We may decline refund requests we reasonably believe to be abusive, such as repeated subscribe-and-refund cycles.

10. Offline & Invoiced Billing

Paying by invoice or bank transfer instead of in the Platform is available only if we agree to it in writing, for example in an Order Form, a Signed Agreement or a written confirmation from us. Unless that agreement says otherwise:

  • invoices are issued electronically and are due within seven (7) days of the invoice date;
  • late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower;
  • all bank charges, transfer fees and currency conversion costs are borne by the Client so that we receive the full invoiced amount; and
  • the suspension grace period in Section 12 applies.

11. Taxes

Fees are exclusive of VAT, sales, use, withholding and other taxes, duties and levies, which are the Client’s responsibility, except taxes based on the Provider’s net income. Where we are required to collect a tax, it is added to the amount charged. If the Client is required by law to withhold any tax, it must increase its payment so that we receive the full amount we would have received without the withholding.

12. Suspension

  • In-Platform payments. If any in-Platform charge fails or is reversed, we may suspend access to the Platform immediately until payment is made.
  • Offline payments. For Clients on agreed offline billing, we may suspend access if an undisputed invoice remains unpaid for more than fifteen (15) days after its due date.
  • Other grounds. We may also suspend or limit access immediately, without liability, if the Client or any Authorised User (a) breaches Section 16, (b) engages in suspected fraudulent or illegal activity, or (c) creates a security or privacy risk for the Platform or other clients.
  • During suspension. We do not delete Client Data because of a suspension, and Section 18 continues to apply. Access is restored once the cause of the suspension is resolved and all overdue amounts are paid.

13. Cancellation, Termination & Renewal

  • Cancellation by the Client. The Client may cancel its Subscription at any time from its account. Cancellation takes effect at the end of the current paid billing cycle, and the Client keeps access until then. Except as set out in Section 9, no refund or credit is given for the remainder of the cycle.
  • Termination for breach. Either party may terminate the Subscription if the other materially breaches these Terms and fails to cure the breach within fifteen (15) days after written notice. Non-payment is a material breach.
  • Immediate termination. We may terminate immediately on notice if the Client breaches Section 16, engages in fraudulent or illegal activity, or becomes insolvent.
  • Termination for convenience by us. We may terminate a Subscription for any reason on thirty (30) days’ notice, in which case we refund prepaid Fees for the unused part of the paid period.
  • Effect of termination. On termination or expiry, (a) the Client’s right to use the Platform ends; (b) all Fees accrued up to the effective date become immediately due; and (c) Client Data is handled under Section 18.
  • Survival. Sections 9, 11, 17, 18, 19, 21, 22, 26 and 27, and any other provision which by its nature should survive, survive termination.

14. Onboarding, Support & Professional Services

  • Self-service. Self-serve Subscriptions include access to the Platform, in-app setup tools, our help centre and standard support. Live onboarding or training sessions, checklist review, on-site support, custom configurations and consulting are not included unless purchased separately or agreed in writing.
  • Professional Services. Any Services we agree to provide are described in an Order Form. The Client has ten (10) business days from delivery to accept a deliverable or request corrections, after which the deliverable is deemed accepted.
  • Client delays. If the Client delays providing data, approvals or access we reasonably need for Services by more than seven (7) days, we may extend timelines, pause the Services until the delay is resolved, and charge reasonable costs caused by the delay. These delays do not make us in breach.
  • Updates. Updates, bug fixes and maintenance are included in the Subscription. We may change the Platform to improve functionality or security, provided the changes do not materially reduce the core functionality of a paid Subscription during its current billing cycle. Major new modules may carry additional Fees.

15. Service Levels

Our service availability targets, incident severity levels, response and resolution targets, and support channels for paid Subscriptions are set out in the Modeeri Service Level Agreement, which forms part of these Terms. They are service targets, not guarantees, and no service credits or penalties apply unless a Signed Agreement expressly provides for them.

16. Client Responsibilities & Acceptable Use

  • Client responsibilities. The Client must use the Platform lawfully; maintain the internet connectivity, devices and systems needed to use it; keep its own backups or exports of Client Data it needs to retain; and hold all rights and consents required for the Client Data it provides.
  • Restrictions. The Client must not, and must not allow anyone to: (a) sell, resell, sublicense, lease or distribute the Platform or make it available to third parties outside its organisation; (b) copy, modify, decompile, disassemble or reverse engineer the Platform, except to the extent the law permits despite this restriction; (c) create derivative works or use the Platform to build a competing product; (d) remove proprietary notices; or (e) bypass or interfere with security, usage limits or licensing controls.
  • Prohibited use. The Platform must not be used to (a) violate any law, including data protection, employment, consumer protection and export control laws; (b) infringe the rights of any person; (c) upload or transmit malware or malicious code; (d) send spam or unsolicited communications; (e) store or transmit unlawful, offensive or harassing material; (f) attempt unauthorised access to the Platform or other systems; or (g) disrupt the integrity or performance of the Platform or other clients’ data.

17. Intellectual Property

  • Our property. The Platform, its software, templates, documentation, training materials, deliverables that consist of our standard or Platform-generated materials, and all related intellectual property remain the exclusive property of the Provider and its licensors. Ownership of any bespoke deliverables commissioned under an Order Form is as stated in that Order Form.
  • Licence. Subject to these Terms and payment of Fees, we grant the Client a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its internal business operations during the Trial or Subscription.
  • Client Data. The Client retains all rights in its Client Data. The Client grants us a worldwide, royalty-free licence to host, store, process and transmit Client Data only as needed to provide, secure and support the Platform and Services.
  • Aggregated data. We may collect and use usage data and data derived from Client Data in aggregated and anonymised form, which does not identify the Client or any individual, to operate, analyse and improve our products. This data is ours.
  • Feedback. If the Client or its Authorised Users give us suggestions or feedback, we may use them freely and without obligation.

18. Client Data & Data Protection

  • Roles. For Client Data, the Client is the data controller and the Provider acts as data processor. We process Client Data only on the Client’s documented instructions (which include these Terms and the Client’s use of the Platform) and only to provide the Platform and Services, in compliance with applicable data protection laws, including Egypt’s Personal Data Protection Law No. 151 of 2020 where it applies. For account, billing and website data we collect for our own purposes, we act as controller as described in our Privacy Policy.
  • Client warranty. The Client warrants that it has all consents, notices and legal bases required under applicable data protection laws for us to process Client Data as described in these Terms.
  • Security and breach notification. We implement appropriate technical and organisational measures to protect Client Data and will notify the Client without undue delay after becoming aware of a personal data breach affecting Client Data.
  • Subprocessors and transfers. We may use subprocessors, such as hosting and payment providers, bound by data protection obligations no less protective than ours. Client Data may be transferred outside the country where it is collected only in compliance with applicable data protection laws and subject to appropriate safeguards.
  • Export after termination. For thirty (30) days after a paid Subscription ends, the Client may export its Client Data or ask us in writing to return or delete it.
  • Deletion. We permanently delete or irreversibly anonymise Client Data within ninety (90) days after a paid Subscription ends, or after the Trial data period in Section 6 ends. Copies in backups are overwritten in our routine backup cycles. We may keep data for longer only where the law requires it or where it is needed to resolve a dispute or enforce these Terms, and only for as long as that need lasts. Deleted data cannot be recovered.

19. Confidentiality

  • Obligations. Each party will use the other’s non-public information that is marked or reasonably understood to be confidential (including Client Data, pricing and the Platform’s non-public features) only to perform under these Terms, and will protect it with at least reasonable care.
  • Exceptions. This Section does not apply to information that is or becomes public without breach, was already known to or is independently developed by the receiving party, or is received lawfully from a third party. Information may be disclosed to employees, contractors and advisers who need to know it and are bound by confidentiality, or where required by law or a competent authority, with prompt notice where lawful.
  • Duration. These obligations survive for five (5) years after termination, and for trade secrets and personal data for as long as they remain protected by law.

20. Warranties & Disclaimers

  • Mutual. Each party warrants that it has the authority to enter into these Terms.
  • Our warranty. For paid Subscriptions, we warrant that the Platform will perform substantially as described in our documentation and that Services will be performed in a professional and workmanlike manner. The Client’s sole remedy for breach of this warranty is for us to use commercially reasonable efforts to correct the non-conformity or, if we cannot do so within a reasonable time, for the Client to terminate the affected Subscription and receive a refund of prepaid Fees for the unused period.
  • Disclaimer. Except as expressly stated in these Terms, and except for any warranty that cannot be excluded under applicable mandatory law, the Platform and Services are provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Platform will be uninterrupted or error-free.

21. Indemnification

  • By us. For paid Subscriptions, we will defend the Client against third-party claims that the Platform, as provided by us, infringes that third party’s intellectual property rights, and indemnify the Client against damages finally awarded. This does not apply to claims arising from (a) Client Data, (b) the Client’s modification of the Platform, (c) use outside these Terms or in combination with products we did not supply, or (d) continued use after we ask the Client to stop. If the Platform is or may be found to infringe, we may, at our option and as the Client’s sole remedy, obtain the right for the Client to continue using it, modify or replace it, or terminate the affected Subscription and refund unused prepaid Fees.
  • By the Client. The Client will defend and indemnify the Provider against third-party claims and regulatory actions arising from Client Data, the Client’s breach of its data protection warranty in Section 18, the Client’s misuse of the Platform, or the Client’s unlawful use of the Platform or Services.
  • Procedure. The indemnified party must promptly notify the indemnifying party, allow it to control the defence, and cooperate reasonably. The indemnifying party may not settle a claim in a way that imposes obligations on the indemnified party without its consent.

22. Limitation of Liability

  • Cap. Each party’s total aggregate liability arising out of or relating to these Terms is limited to the total Fees paid by the Client to the Provider in the twelve (12) months before the event giving rise to the claim.
  • Higher cap. For liability arising from breach of confidentiality or data protection obligations, or from infringement of intellectual property rights, the cap is two (2) times that amount.
  • Trials. For Trials, Section 6 applies instead.
  • Excluded damages. Neither party is liable for indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, business or data, however arising.
  • Uncapped. Liability for fraud, wilful misconduct or gross negligence (including fraud (غش) and gross fault (خطأ جسيم) under the Egyptian Civil Code), and the Client’s obligation to pay Fees, are not limited by this Section. Nothing in these Terms limits any liability that cannot be limited under applicable law.

23. Force Majeure

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, epidemics, government action, labour disputes, failures of utilities, telecommunications or hosting providers, and internet outages. The affected party must notify the other and use reasonable efforts to resume performance. If the event continues for more than sixty (60) days, either party may terminate the affected Subscription on written notice, and we will refund prepaid Fees for the period after termination on a pro-rata basis.

24. Marketing Rights

  • Self-serve Clients. Starting thirty (30) days after the Client’s account is created, unless the Client has opted out, we may use the Client’s name and logo to identify it as a Modeeri customer on our website, social media, customer lists and sales materials. We will not disclose Confidential Information or Client Data in doing so.
  • Opting out. The Client may opt out at any time by emailing info@modeeri.com. We will stop new uses within thirty (30) days, but are not required to recall materials already published or distributed.
  • Signed Agreements. For Clients with a Signed Agreement, the marketing terms of that agreement apply instead.

25. Changes to These Terms

We may update these Terms from time to time by posting a new version on our website with a new “Last updated” date. For material changes, we will notify the account owner by email or in the Platform at least fifteen (15) days before they take effect. Material changes that affect a paid Subscription apply from the start of its next billing cycle. Continued use of the Platform after changes take effect constitutes acceptance. If you do not agree, you may cancel before the changes apply to you. Updates to these Terms never amend a Signed Agreement.

26. Governing Law & Disputes

  • Clients contracting with Modeeri LLC (Egypt): these Terms are governed by the laws of the Arab Republic of Egypt, and the competent courts of Cairo, Egypt have exclusive jurisdiction.
  • Clients contracting with CookDocs LLC d/b/a Modeeri: these Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction. Each party submits to the jurisdiction of those courts.
  • Amicable resolution first. The parties will first try in good faith to resolve any dispute through negotiation. If it is not resolved within thirty (30) days, either party may bring proceedings as set out above.
  • Arbitration by agreement. Where an Order Form or Signed Agreement provides for arbitration, disputes will be resolved as set out there.

27. General

  • Entire agreement. These Terms, the Privacy Policy, the Service Level Agreement and any Order Forms form the entire agreement between the parties on their subject matter, subject to Section 4. Terms in a Client’s purchase order or similar document do not apply.
  • Electronic records. The parties agree to conduct business electronically. Acceptance of these Terms by ticking the sign-up box, and all electronic records and notices, are valid and enforceable, and neither party will challenge them only because they are electronic.
  • Notices. We send notices to the account owner’s email address or through the Platform. The Client sends notices to info@modeeri.com. Email notices are deemed received on the next business day, unless a delivery-failure message is received.
  • Assignment. The Client may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, reorganisation or sale of substantially all our assets, on notice to the Client.
  • Severability and waiver. If any provision is held invalid, the rest remains in force and the invalid provision is replaced with a valid one of similar effect. A failure to enforce a right is not a waiver of it.
  • Export and sanctions. The Client represents that it is not named on any U.S., EU or UN sanctions list and will not use the Platform in any embargoed country or for any prohibited purpose.
  • Anti-corruption. Neither party has offered or received any bribe or improper inducement in connection with these Terms.
  • Independent parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship, and there are no third-party beneficiaries.
  • Language. These Terms are written in English. If they are translated, the English version prevails. For proceedings before an Egyptian court or authority, a certified Arabic translation will be provided and used for that proceeding.
